Collateral Conversion Procedure


  • 1) The potential client provides a summary of the project(s) to be funded.
  • 2) KCG informs the client or broker agent that we are RWA to provide the capital requested and outlines the Collateral Conversion Cost.  
  • 3) Client then sends a formal letter of request, including the following:
  • a. CIS 
  • b. Corporate Resolution
  • c. Passport of the signatory 
  • d. Proof of Funds for the collateral conversion cost
  • 4) KCG prepares a Letter of Commitment and sends it to the client.
  • 5) Client signs and returns the Letter of Commitment. 
  • 6) The Escrow agreement is then completed, outlining when the collateral conversion cost will be released to KCG or the asset owner. 
  • a. Conditions under which escrow funds are released.
  • i. KCG provides the client with a Corporate Invoice in the amount of the collateral conversion cost. 
  • ii. KCG provides the client with a Notarized Refund Undertaking for the collateral conversion cost 
  • iii. KCG provides the client with a Statement of account from the asset owner, confirming the existence of the gold at Barclays Bank London or another financial institution, to complete the transaction. 
  • iv. KCG provides the client with a Redacted copy of the agreement between KCG and the asset owner to transfer ownership of the gold to complete the transaction. 
  • 7) The escrow funds are released to KCG or the asset owner. 
  • 8) Preparation and issuing of the collateral takes approximately 15 banking days. 
  • 9) Once the collateral has been issued, a meeting with all the parties will be held at Barclays Bank London to complete the funding process. 
  • 10)  Additional funding (if required) will be provided, as per the funding schedule outlined in the Letter of Commitment. 



Usage of the Collateral Conversion Cost

 

The “Collateral Conversion Cost” is not utilized by King Capital Group, its associates, or any intermediary in the transaction. The fee is the cost charged by Barclays Bank London to issue the collateral for the loan that our clients are seeking. Barclays Bank London is also the Bank that will be overseeing the transaction. This is their charge to create the Collateral (much like an Insurance Wrap) and to oversee the transaction.


This type of Collateralization includes the legal transfer of the underlying asset from the asset owner to King Capital Group or the client (if allowed by KCG and the asset owner). It includes the activation of the asset within the bank, informing all the relevant International Bodies of the transfer of the underlying asset, and the proper documentation of all the above. As you are aware from your dealings with your banks, banks do not provide such a level of service without charge. Thereby, the “Collateral Conversion” cost is required to be paid to the bank before it commences the process.

  • Q. Is KCG the current owner of the underlying asset?
  • A. No. KCG is not the current owner of the underlying asset. But at the appointed time the asset will be legally transferred to KCG, or if allowed to our client. 
  • Q. Is KCG legally appointed to negotiate on behalf of the current asset owner? 
  • A. Yes. KCG and its associates are legally appointed to negotiate on behalf of the current asset owners. And at the appointed time, confirmation of such will be provided. 
  • Q. Can the Collateral Conversion Cost be deferred to the end of the transaction? 
  • A. No. The Collateral Conversion Cost cannot be deferred to any point in the transaction other than what is outlined in the procedures. 
  • Q. Is the asset owner ever involved in the transaction? 
  • A. Yes. The asset owner is involved in the transaction. And at the appointed time, as per the procedure, a meeting with the asset owner will be arranged.
